Terms of Service

These terms govern your use of harbourdesk.com and the products and services available on it, operated by HarbourDesk ("HarbourDesk", "we", "us"). By purchasing from us or downloading our materials, you agree to these terms. If you are agreeing on behalf of a company, you confirm you have authority to do so.

What we provide

HarbourDesk provides (a) business document templates, available individually and through membership, and (b) the Contract Confidence Check, a practical review service that gives you plain-English feedback on a contract you upload.

Important: we do not provide legal advice

HarbourDesk is not a law firm and is not regulated by the Solicitors Regulation Authority. Our templates are general-purpose starting points and our Contract Confidence Check is a practical, plain-English review — neither constitutes legal advice, and no solicitor-client relationship is created by using our services. Templates and feedback are not tailored to your specific legal circumstances unless expressly stated. For matters of significant value or risk, or where you are unsure of your legal position, you should consult a qualified solicitor. You are responsible for how you use our templates and feedback.

Templates and licence

When you purchase or download a template, we grant you a non-exclusive, non-transferable licence to use and adapt it for your own business purposes. You may not resell, redistribute, sublicense, or make our templates available to third parties as templates, whether modified or not, whether free or paid. All intellectual property in our templates and site content remains ours.

Membership

Membership gives you access to our template library and included updates for as long as your subscription is active. Subscriptions renew automatically until cancelled. You can cancel at any time and will retain access until the end of the period you have paid for. Prices are as shown at checkout; we will give at least 30 days' notice of any price change to an active subscription.

Contract Confidence Check

We aim to return your review within 48 hours of receiving your document and payment (working days). The turnaround is a service target, not a guarantee, and if we anticipate a delay we will tell you. We treat uploaded documents as confidential, use them only to perform your review, and delete them as described in our Privacy Policy. We may decline a document that is outside our competence or scope (for example, highly specialised or regulated agreements), in which case we will refund you in full.

Refunds

Because templates are digital content delivered immediately, by purchasing you consent to immediate delivery and acknowledge that the usual 14-day cancellation right under the Consumer Contracts Regulations is waived once the download is delivered. That said, if a template is materially defective or not as described, contact us within 14 days and we will replace it or refund you. For the Contract Confidence Check, you may cancel for a full refund any time before we begin the review; once the review has been delivered, fees are non-refundable except where required by law.

Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited. Subject to that, we are not liable for indirect or consequential losses, loss of profit, or business losses arising from use of our templates or services, and our total liability to you in respect of any purchase is limited to the amount you paid us for that purchase. Our templates and reviews are provided with reasonable care and skill, but we do not warrant that they are suitable for your specific circumstances.

General

We may update these terms from time to time; the version in force at the time of your purchase applies to that purchase. If any part of these terms is found unenforceable, the rest remains in effect. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that consumers resident elsewhere in the UK may rely on the laws and courts of their home nation.
